歌爾光學擬全資收購上海奧強化AR光波導技術佈局

歌爾光學近日宣佈與舜宇光學科技達成戰略協議，計劃通過增發股份方式全資收購其旗下上海奧來公司（包含舜宇奧來微納光學與微納光電信息兩家實體）。交易完成後，上海奧來將成為歌爾光學全資子公司。此次收購旨在強化歌爾在晶圓級微納光學領域的技術壁壘，為AR智能眼鏡整機業務提供核心光學支撐。

上海奧來作為舜宇光學科技的AR半導體光學核心平台，擁有國內領先的12英寸透明襯底晶圓量產能力。其位於上海臨港新片區的200畝微納光學產線（2023年啟動建設）預計2025年下半年投產，可滿足下一代衍射光波導模組的大規模製造需求。

此次併購標誌著中國AR供應鏈進入深度整合階段——歌爾通過控股上海奧來，將構建「光學設計+晶圓製造+整機組裝」全鏈路能力，進一步強化其在全球AR產業的競爭優勢。

Goertek Optics Plans Full Acquisition of Shanghai Aolai to Strengthen AR Waveguide Technology Layout

Goertek Optics recently announced a strategic agreement with Sunny Optical Technology to fully acquire its subsidiary Shanghai Aolai (including Sunny Aolai Micro-Nano Optics and Micro-Nano Optoelectronics entities) through a share issuance. Upon completion of the transaction, Shanghai Aolai will become a wholly-owned subsidiary of Goertek Optics. This acquisition aims to strengthen Goertek’s technological barriers in wafer-level micro-nano optics and provide core optical support for its AR smart glasses business.

As Sunny Optical Technology’s core AR semiconductor optics platform, Shanghai Aolai possesses leading domestic mass-production capabilities for 12-inch transparent substrate wafers. Its 200-acre micro-nano optics production line in Shanghai’s Lingang New Area (construction began in 2023) is expected to commence operations in the second half of 2025, meeting the large-scale manufacturing demands for next-generation diffractive waveguide modules.

This merger marks the deepening integration of China’s AR supply chain—by acquiring Shanghai Aolai, Goertek will establish end-to-end capabilities in “optical design + wafer manufacturing +mounting,” further strengthening its competitive advantage in the global AR industry.
