此次變更與歌爾光學近期重大資本動作形成戰略協同。據歌爾股份8月公告,歌爾光學擬通過增發股份方式全資收購舜宇光學旗下上海奧來微納光學與上海奧來微納光電兩家公司。交易完成后,舜宇光學將持有歌爾光學約33%股權,歌爾股份保持67%控股地位。

此次股權重組實質促成兩大光學巨頭的深度捆綁——舜宇在微納光學領域的技術積澱與歌爾的量產能力形成互補,尤其在衍射光波導等前沿技術領域。工商登記新增眼鏡銷售資質,進一步印證歌爾光學戰略轉型意圖。此前該公司主要面向B端提供VR/AR光學模組解決方案,客戶涵蓋Meta等頭部廠商。新增銷售資質使其可直接觸達C端消費者,為自主品牌智能眼鏡鋪平道路。

Latest industrial and commercial information shows that Goertek Optics Technology Co., Ltd., a subsidiary of Goertek Inc., recently completed several important changes: its registered capital increased from 982 million yuan to 1.059 billion yuan, and its business scope now includes “eyewear sales (excluding contact lenses).” This adjustment signifies that the technology company, deeply entrenched in the AR/VR optical field, is accelerating its expansion into the consumer-grade smart glasses market.

This change strategically aligns with Goertek Optics’ recent major capital moves. According to an August announcement by Goertek Inc., Goertek Optics plans to fully acquire Sunny Optical Technology’s subsidiaries Shanghai Aolai Micro-Nano Optics and Shanghai Aolai Micro-Nano Optoelectronics through a share issuance. Upon completion of the transaction, Sunny Optical Technology will hold approximately 33% of the shares in Goertek Optics, while Goertek Inc. will maintain a 67% controlling stake.

This equity restructuring essentially fosters a deep integration between the two optical giants—Sunny’s technological expertise in micro-nano optics complements Goertek’s mass-production capabilities, particularly in cutting-edge areas like diffractive waveguides. The addition of the eyewear sales qualification further confirms Goertek Optics’ strategic transformation intentions. Previously focused on providing VR/AR optical module solutions to B-end customers, including major players like Meta, the new sales qualification allows it to directly reach C-end consumers, paving the way for its own branded smart glasses.

With the global AI glasses market experiencing record annual growth, this capital increase and business expansion demonstrate Goertek’s new strategy in the XR sector: evolving from a behind-the-scenes supply chain enterprise to a dual role as both a “technology solution provider and brand owner.”
