康耐特光學與歌爾光學成立合資公司 共同開拓全球智能穿戴光學市場

1月19日，康耐特光學發布公告，其全資子公司朝日鏡片與歌爾光學科技（香港）有限公司正式簽署合資協議，共同成立 「歌爾光視科技（香港）有限公司」。該合資公司將專注於下一代顯示技術，旨在深化雙方在 AR、VR、MR 及 AI 眼鏡等智能穿戴光學領域的戰略合作。

由於歌爾股份間接持有康耐特光學約 20.03% 的股權，此次交易構成關聯交易。合資公司註冊資本為 300 萬美元，其中歌爾光學出資 210 萬美元，持股 70%；朝日鏡片出資 90 萬美元，持股 30%。

合資公司業務將聚焦於智能眼鏡專用定製鏡片的研發與生產，涵蓋：

• 近視矯正型與非矯正型光波導目鏡
• 電致變色目鏡
• 整合眼球追蹤功能的光電元件

其產品將主要面向大中華地區以外的全球市場。

康耐特光學表示，此次合作是公司拓展產品線與增量市場的重要一步。歌爾光學在精密光學與光波導領域具備深厚技術積累，而康耐特光學在樹脂鏡片製造方面擁有專業優勢。雙方希望透過資源整合，形成協同效應，共同把握全球空間計算產業帶來的市場機遇。

Conant Optical and Goertek Optical Form Joint Venture to Expand Global Smart Wearable Optics Market
On January 19, Conant Optical announced that its wholly-owned subsidiary Asahi Lens has officially signed a joint venture agreement with Goertek Optical Technology (Hong Kong) Co., Ltd. to establish Goertek Optical Technology (Hong Kong) Co., Ltd. The joint venture will focus on next-generation display technologies, aiming to deepen strategic cooperation between the two companies in the fields of AR, VR, MR, and AI glasses, as well as other smart wearable optics.

As Goertek indirectly holds approximately 20.03% of Conant Optical’s shares, this transaction constitutes a related-party transaction. The joint venture has a registered capital of $3 million, with Goertek Optical contributing $2.1 million (holding 70%) and Asahi Lens contributing $0.9 million (holding 30%).

The joint venture’s business will focus on the R&D and production of customized lenses specifically for smart glasses, including:

• Prescription and non-prescription optical waveguide eyepieces
• Electrochromic eyepieces
• Optoelectronic components integrating eye-tracking functionality

Its products will primarily target global markets outside Greater China.

Conant Optical stated that this collaboration is an important step in expanding its product lines and entering incremental markets. Goertek Optical has deep technical expertise in precision optics and optical waveguides, while Conant Optical brings professional advantages in resin lens manufacturing. Both parties aim to integrate resources, create synergies, and jointly seize market opportunities brought by the global spatial computing industry.
